Arnold Ombasa

Arnold Ombasa is an Associate in the Corporate Commercial Department at Dentons Hamilton Harrison & Mathews, specialising in mergers and acquisitions, energy and infrastructure projects, and tax law. He is an Advocate of the High Court of Kenya and advises clients on a wide range of corporate and commercial law transactions.

Arnold has acted for an acquirer intending to acquire a minority stake in a gold mining company in Kenya, including conducting thorough legal due diligence, structuring the transaction, and negotiating acquisition documents. He has carried out red flag legal due diligence on the Kenyan subsidiary of a global mining company, advising on applicable legal regimes, compliance matters, and mining rights. He has also assisted in the preparation of Public Private Partnership Regulations under the new PPP Act, advised on the renewal of an operations and maintenance agreement for an 80.32 MW electric power generating facility, and acted on the acquisition of the total issued share capital of an energy company in Kenya. In the tax space, he has advised a large Kenyan bank in a High Court dispute with the Kenya Revenue Authority over card interchange fees and represented a taxpayer in a landmark withholding tax dispute under the Kenya-South Africa DTA concerning payments for software.

Arnold holds an LL.B from Strathmore University (2021) and is a member of the Law Society of Kenya.
