Seraphine Ndala is a Senior Associate at Dentons Hamilton Harrison & Mathews, practicing in the Corporate, Commercial and Real Estate team, specializing in Mergers and Acquisitions. She also advises on joint ventures, private equity, competition and anti‑trust, business set‑up, and regulatory compliance.

Seraphine has significant experience advising on M&A, commercial contracts, and corporate and regulatory matters. Notable matters include advising Gulf Energy Limited on the sale of its oil marketing business to a pan‑African downstream oil company; advising GEMS Africa Limited on its acquisition of 100% shareholding of Hillcrest Investments; advising Africa Power Amalgamated Limited on the sale of its minority shareholding in Gallant Power; advising Abraaj Group on its investment in Kenyan hospitals; conducting due diligence for private equity funds; advising a local pension fund on its proposed investment in a private equity fund; advising nine tier‑1 and tier‑2 Kenyan banks on the restructuring plan proposed by Kenya Airways; advising Stichting DOB Equity on its investment in a local milk processing company; advising the Government of Kenya on review of mining licenses and preparation of draft mineral agreements; and advising a new entrant on the acquisition of assets of Auto Sueco Kenya Limited.

Seraphine holds a Diploma of Law from the Kenya School of Law and was admitted as an Advocate of the High Court of Kenya in 2016. She is a member of the Law Society of Kenya.
